Terms of Service

These Terms of Service ("Terms") govern your access to and use of Verdiccio ("Service"), operated at verdiccio.com. By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

Verdiccio is an AI-powered idea validation platform that helps founders analyze business ideas by aggregating publicly available information from the web, Reddit, GitHub, Hacker News, and other sources, and generating analytical reports using large language models (LLMs).

Specifically, you acknowledge and agree that:

• —Analysis outputs reflect publicly available information at the time of the run and may be incomplete, outdated, or inaccurate.
• —Scores, verdicts, and recommendations are probabilistic estimates generated by AI models, not expert opinions.
• —Market size estimates, revenue projections, and competitive assessments are approximations, not verified data.
• —The Service does not verify the accuracy of third-party sources it retrieves.
• —A positive validation score does not guarantee that a business will succeed; a negative score does not guarantee failure.
• —You are solely responsible for any decisions made based on Service outputs.

You must be at least 18 years old to use the Service. By using the Service, you represent that you are at least 18 years of age and have the legal capacity to enter into these Terms.

If you are using the Service on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

Account creation and authentication are managed through our third-party provider, Clerk. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

You agree to:

• —Provide accurate and complete information when creating your account.
• —Notify us promptly if you suspect unauthorized access to your account.
• —Not share your account credentials with others.
• —Not create multiple accounts to circumvent usage limits or credits.

We reserve the right to suspend or terminate accounts that violate these Terms.

Verdiccio operates on a pay-per-use credit model. Credits are purchased in advance and consumed when validation runs are executed.

Validation tiers and credit costs:

• —Validate — 1 credit per run. AI-powered analysis across core dimensions.
• —Pro — 3 credits per run. Extended analysis with 5 additional dimensions including investor perspective, regional context, and improvement roadmap.
• —Expert — 6 credits per run. Pro analysis plus manual review by a human expert within 72 hours.

Credits policy:

• —Credits are non-refundable once purchased, except as required by applicable law.
• —Credits have no cash value and cannot be transferred between accounts.
• —Credits do not expire unless your account is terminated.
• —Credits are consumed when a validation run is initiated, not when it completes.
• —If a run fails due to a verified technical error on our side, credits will be restored to your account.
• —If an idea is rejected during the pre-validation check (sanity check), the credit consumed is not refunded, as computational resources were expended.
• —Expert tier: if the 72-hour expert review SLA is not met, the 6 credits consumed will be automatically refunded to your account in full.

All prices are displayed in USD and are exclusive of any applicable taxes. You are responsible for paying any taxes applicable to your jurisdiction.

We reserve the right to change pricing at any time. Price changes will not affect already-purchased credits.

You agree not to use the Service to:

• —Submit ideas or content that is illegal, defamatory, fraudulent, or harmful.
• —Attempt to reverse-engineer, scrape, or extract data from the platform at scale.
• —Circumvent rate limits, credit consumption, or other technical restrictions.
• —Use automated scripts to submit validation runs without prior written consent.
• —Attempt to manipulate or game the scoring system.
• —Resell or sublicense access to the Service or its outputs without written permission.
• —Use the Service for purposes that violate the terms of any third-party services we rely on, including Anthropic (Claude), OpenAI, and Serper.
• —Submit content that infringes intellectual property rights of third parties.

We reserve the right to investigate suspected violations and suspend or terminate access without notice.

You own your content. You retain full ownership of the idea descriptions and any materials you submit to the Service ("Your Content"). Submitting an idea to Verdiccio does not transfer any intellectual property rights to us. We do not acquire any claim over your ideas, concepts, or business plans.

By submitting Your Content, you grant Verdiccio a limited, non-exclusive, non-transferable license to process and analyze it solely for the purpose of delivering the validation analysis to you. This license ends when you delete the idea or close your account.

Analysis outputs: The reports, scores, and outputs generated by the Service ("Outputs") are provided to you for your personal or internal business use. You may share and use Outputs freely. You may not resell Outputs as a standalone data product without our written consent.

Our platform: The Verdiccio platform — including its software, algorithms, scoring models, design, and brand — remains the exclusive property of Verdiccio and its licensors. These Terms do not grant you any rights to our intellectual property beyond the right to use the Service as described herein.

Our collection and use of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference.

By using the Service, you acknowledge that:

• —The ideas and content you submit are processed by third-party AI providers (Anthropic, OpenAI, xAI) subject to their own terms and data policies.
• —Evidence collected during analysis runs is sourced from publicly available data on the internet.
• —We do not sell your idea content or analysis results to third parties.

The Service integrates with third-party services including but not limited to: Anthropic (Claude), OpenAI (GPT), xAI (Grok), Serper (web search), Reddit, GitHub, Hacker News, Clerk (authentication), Resend (transactional email), and Cloudflare (storage).

We are not responsible for the availability, accuracy, or terms of these third-party services. Disruptions to third-party services may affect Service availability or output quality, and do not entitle you to refunds or compensation.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or free from viruses or other harmful components. We do not warrant the accuracy, completeness, or usefulness of any analysis outputs.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VERDICCIO AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, OR BUSINESS INTERRUPTION.

IN NO EVENT SHALL OUR TOTAL CUMULATIVE LIABILITY TO YOU EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) USD $100.

You may stop using the Service at any time. You may delete your account by contacting us at legal@verdiccio.com.

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Upon termination, unused credits are forfeited unless we determine otherwise at our discretion.

Sections 02, 07, 10, 11, and 14 survive termination of these Terms.

We may update these Terms from time to time. If we make material changes, we will notify you by email or by displaying a notice in the Service at least 14 days before the changes take effect. Your continued use of the Service after the effective date of updated Terms constitutes acceptance of the new Terms.

These Terms are governed by and construed in accordance with the laws of Ukraine. Any dispute arising from these Terms or your use of the Service shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to the competent courts of Ukraine.

If you are a consumer resident in the European Union, you may also have the right to submit disputes to an alternative dispute resolution body in your country of residence.
